"Control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority. Country: Refers to British Columbia, Canada.Company: This term, used interchangeably with "the Company," "We," "Us," or "Our," refers to Flowtree Cloud Solutions LTD.Device: Any device, like a computer, cellphone, or digital tablet, capable of accessing our SaaS Application.Service: This denotes the SaaS Application.Terms and Conditions: Also known as "Terms," these are the comprehensive rules that constitute the agreement between you and the Company regarding the use of the SaaS Application. These charges are subject to change and based on plane level, and you agree to be responsible for any incurred charges associated with your use of these specific features within the SaaS Application.

Our SaaS Application may contain links to third-party websites or services not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we are not responsible for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available through third-party websites or services. We recommend reading the terms, conditions, and privacy policies of any third-party websites or services you visit.

Termination

We reserve the right to terminate or suspend your access to the SaaS Application immediately, without prior notice or liability, for any reason whatsoever, including a breach of these Terms and Conditions. Your right to use the SaaS Application ceases immediately upon termination.

Limitation of Liability

Regardless of any damages you might incur, our entire liability and that of our suppliers under any provision of these Terms, and your exclusive remedy for all such matters, shall be limited to the amount actually paid by you through the SaaS Application or 10 USD if you haven't purchased anything through the SaaS Application. To the maximum extent permitted by applicable law, we and our suppliers shall not be liable for any special, incidental, indirect, or consequential damages whatsoever.

"AS IS" and "AS AVAILABLE" Disclaimer

The SaaS Application is provided to you "AS IS" and "AS AVAILABLE" with all faults and defects, without warranty of any kind. To the maximum extent permitted under applicable law, we, on our behalf and that of our Affiliates and licensors, expressly disclaim all warranties, whether express, implied, statutory, or otherwise. This includes all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we provide no warranty that the SaaS Application will meet your requirements, achieve any intended results, be compatible with other software, applications, systems, or services, operate without interruption, meet any performance or reliability standards, or be error-free.

Governing Law

The laws of the Country, excluding its conflicts of law rules, shall govern these Terms and your use of the SaaS Application. Your use of the Application may also be subject to other local, state, national, or international laws.

Disputes Resolution

If you have any concerns or disputes about the SaaS Application, we encourage you to first try to resolve the matter informally by contacting us.

For European Union (EU) Users

If you are an EU consumer, you will benefit from any mandatory provisions of the law of the country in which you are a resident.

United States Legal Compliance

You represent and warrant that you are not located in a country subject to the United States government embargo or designated by the United States government as a "terrorist supporting" country. Additionally, you are not listed on any United States government list of prohibited or restricted parties.

Severability

If any provision of these Terms is held to be unenforceable or invalid, the provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter. Nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated for your convenience. However, you agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Your continued use of our SaaS Application after these revisions constitutes your acceptance of the new terms. If you do not agree to the new terms, in whole or in part, please stop using the SaaS Application.
